Internet Retailer Terms and Conditions

Definitions

Internet Retailer is a trading name of Primrose House Ltd, Registered in England number 5170057. VAT number 883 8281 79.  Registered under the Data Protection Act 1998 registration number Z8701095. 'Internet Retailer'

Internet Retailer is a family run business based in the historic central England town of Cambridge.  We have over 20 years of combined experience in selling on-line in a range of markets including fashion, sports, aromatherapy, cross stitch and white goods.

Our clients include high street shops, professional couples and singles, retired folk, full time parents and students. 'shop keeper'

Our easy to use eCommerce web shops are professionally designed to work with the leading search engines and Internet browsers. 'eCommerce shop'

Terms

1. Internet Retailer provide hosted eCommerce shops for shop keepers.  Internet Retailer retain ownership of the code that makes each eCommerce shop work, and the database on which each eCommerce shop is built.

2. For new eCommerce shops each shop keeper owns their web address, respective business branding, eCommerce shop content including but not limited to product details and images (subject to copyright), logo, customer data and all eCommerce shop dynamic page content.  For pre-designed eCommerce shops the ownership of the eCommerce shop web address is transferred to the shop keeper after 3 subscription payments have been received, subject to the terms set out below.

3. Each shop keeper agrees to our terms without reservation.  For as long as the shop keeper abides by our terms in full they remain in charge of their hosted eCommerce shop.  A shop keeper can cancel their tenure as owner of their eCommerce shop without notice - because Internet Retailer understands that personal and business circumstances can change at any time, Internet Retailer do not insist on an unnecessary lengthy agreement.

4. Each shop keeper agrees to indemnify Internet Retailer in purpituity against all and any losses, claims, damages and any other costs caused as a consequence of actions taken by the shop keeper for the duration of their use of any eCommerce shop hosted by Internet Retailer.

5. Internet Retailer agree to keep each shop keeper's business ideas, communications and personal details strictly confidential.  Internet Retailer are registered under the Data Protection Act 1998 and agree not to pass on any shop keeper details to any 3rd party.

6. Internet Retailer agree to transfer ownership of the web address of pre-designed eCommerce shops to the shop keeper on request after 3 months subscription has been paid in full, subject to the licence agreement being in-force.  Ownership transfer costs will be paid by the shop keeper.

7.  Internet Retailer can cancel the tenure of a shop keeper's use of their eCommerce shop by giving 2 months notice via email, telephone or in writing.  Internet Retailer can cancel the tenure of a shop keeper's use of their eCommerce shop without notice if the shop keeper fails to abide by the terms.

8.  Shop keepers are not permitted to sell anything that is deemed illegal under United Kingdom law.

9.  Although there are often millions of competitors in any particular market, Internet Retailer agrees not to create more than 3 pre-designed eCommerce shops for any single market.

10.  A shop keeper's right to run their eCommerce shop is entirely dependant upon the prompt payment of their monthly subscription in full.  If a shop keeper fails to pay their monthly subscription Internet Retailer reserve the right to cancel the tenure of that shop keeper's use of their eCommerce shops without notice.

11.  Internet Retailer allow shop keeper's to sell unlimited Products through their eCommerce shop.  If a shop keeper's eCommerce shop exceeds reasonable bandwidth Internet Retailer reserve the right to limit the number of Products that shop keeper sells in their eCommerce shop.  If reasonable bandwidth is exceeded on a regular basis by a shop keeper's eCommerce shop, Internet Retailer reserves the right to increase the shop keeper's monthly subscription payment.

12.  Although Internet Retailer and its business partners back up shop keeper data on a daily basis, Internet Retailer and its business partners are not liable for any loss of data that may impact on a shop keeper's eCommerce shop or business.  For the avoidance of doubt, Internet Retailer recommends that shop keepers make a back-up of their own business data on a regular basis.

13.  Each shop keeper retains ownership of their own business data and branding, and hereby grants Internet Retailer the right to publish files, graphics and logos provided to Internet Retailer by the shop keeper.

14.  eCommerce shop purchases cancelled within 7 working days from the date of purchase will be refunded within 28 days and subject to a 2.5% cancellation fee to cover Internet Retailer processing costs and less the cost of any services or 3rd party purchases already made including but not limited to domain name purchase, email account purchase and commissioning of graphic design.  No refund will be made for any eCommerce shop purchased after 7 working days from the date of purchase.

15.  Internet Retailer will provide a simple text based logo for each new eCommerce shop created.  Although our design team will do their best to create a suitable and appropriate logo, the logo included in the eCommerce shop purchase price is provided as is and comes with no guarantees whatsoever.  All subsequent change requests, amendments and alternative logo designs requested by the shop keeper can be fulfilled at the price quoted at the time of any request received.

16. Internet Retailer reserves the right to amend these terms without notice or liability.  Although Internet Retailer provide an excellent service designed to cater for all shop keepers, Internet Retailer cannot guarantee the availability of any part of its service that relies on the actions of a 3rd party.
